Membership Agreement and Terms of Use
GirlSense.com and KiddoNet.com


By using the GirlSense and KiddoNet Websites ("the WWebsites") and the activities on these Websites, you acknowledge that you have read and agree to be bound by all terms and conditions mentioned below, to our Privacy Policy and any other pertinent rules or policies that are or may be published by GirlSense and/or KiddoNet from time to time.

The Websites are services owned and operated by StarNet Interactive Ltd ("StarNet Interactive").



SECURITY

As part of the registration process, members will select a password and a member name, to create a new user account (the "Account"). You may not (a) select or use a Member Name of another person with the intent to impersonate that person; (b) use a name subject to the rights of any other person without authorization; or (c) use a Member Name that the Websites, in their sole discretion, deem inappropriate or offensive.

You shall notify the Websites by e-mail at abuse@girlsense.com of any known or suspected unauthorized use(s) of your Account, or any known or suspected breach of security, including loss, theft, or unauthorized disclosure of your password. You shall be responsible for maintaining the confidentiality of your password.

Any fraudulent, abusive, or otherwise illegal activity may be grounds for termination of your Account, at the Websites' sole discretion, and you may be reported to appropriate law-enforcement agencies.



CANCELLATION

You may notify GirlSense and/or KiddoNet that you wish to cancel your membership at any time. In addition, the Websites reserve the right to stop the Service at any time.

If, in our sole discretion, you have failed to comply with any term or provision of these terms, the Websites reserve the right to either suspend or terminate your access and Account, thereby terminating this Agreement and all obligations of the Websites hereunder.

If you have reason to believe that your Account is no longer secure (for example, in the event of a loss, theft, or unauthorized disclosure or use of your Member Name, or Password), you must promptly change your Password and notify the Websites of the problem.



PARENTAL CONSENT

Under the Children's Online Privacy Protection Act ("COPPA"), parental consent is required for the online collection, use and/or disclosure of personal information obtained from a child under the age of 13.

As part of the registration process for the Websites, and in compliance with the regulations set out by COPPA, users are asked to provide a parent's e-mail address for notification purposes.

The GirlSense website offers the following communication tools, providing varied levels of safety and privacy controls:
  • ChatterBox - offers only 'prepared' texts, and no free writing or communication is possible
  • GS MarketPlace Auction Chat - auction room participants can chat with each other using a white list of approved words, with two versions of the white list offered based on age (of auctioneer); 'suggest a word' option allows users to suggest words to be added to white list - suggested words are filtered, and then monitored
  • GS Notes - private notes sent from user to user, making use of white list approved dictionary
  • GS Group Comments - comments allowed from group members, and make use of approved dictionary white list, with two versions of the white list offered based on privacy setting of group (private groups are restricted to users who are 13 and older)
  • GS E-boutique Comments - open comments restricted to members who are 13 and older; white listed comments for boutiques created by users who are 12 and under




GirlSense Mail

Existing GirlSense mail accounts, which were opened for members whose parents provided credit cards at the time of registration, will remain open, but no new accounts will be offered.



KiddoMail

No new KiddoMail accounts are being offered. Parental consent is required to make changes to existing accounts (i.e., to change from RESTRICTED communication to FULL communication accounts).



MONITORED CONTENT

GirlSense offers a variety of activities that allow users to submit written content to be posted on the site. All of the following activities undergo strict monitoring by a team of skilled and experienced reviewers, aided with automatic filters and alerts, prior to posting users' texts on our site.

CREATIONS

Both GirlSense and KiddoNet encourage you to create and express yourself. However, we do not have any obligation to publish your creations. These creations may go through a strict monitoring process after which we will decide whether or not they will be published.

The Websites will save a creation for 60 days. After that time, it will be deleted automatically from our server.

Please do not send to StarNet Interactive Ltd. through its websites www.girlsense.com and www.kiddonet.com any confidential, secret or proprietary information and material, or any other material the transmission of which would violate copyright or other laws. By submitting or sending any data, information, documents, designs, ideas, names, artwork, images, photographs or other material ("Material") created by you through use of the software and activities available on the Websites or that you otherwise provide to StarNet Interactive and the Websites, you (a) declare such Material is not confidential, secret or proprietary information belonging to someone else; and (b) warrant that no other party has rights to the Material and that your transmission of the Material to StarNet Interactive does not violate any copyright or other laws; and (c) irrevocably grant StarNet Interactive all rights to the Material, including but not limited to, the right to reproduce, distribute, display and publicly perform the Material. Please be aware, however, that use of Material and other Content (defined below) that is provided by other site users, by StarNet Interactive or by other parties is strictly limited, as further provided below.

Furthermore, it is improper, and may be a violation of law, for you to:
  1. Post or download and distribute Material that you do not own or for which you do not have permission to use. Please be aware: violation of someone's copyright, trademark, or other intellectual property rights subjects you to civil or criminal penalties.
  2. Use GirlSense or KiddoNet materials or technology for illegal and inappropriate activities, and support of such activities is strictly prohibited. For purposes of this paragraph:
    1. "Illegal activities" are those activities that violate laws, regulations and/or private agreement(s) including federal or state laws governing charitable activities, copyright laws, trademarks laws, license agreements or intellectual property rights.
    2. "Inappropriate uses" are any uses other than legitimate informational purposes.
All Material and in addition all other trademarks, tradenames, biographies, audio streams, video streams, interview responses, quotations, names of designers, endorsements, site software, text, illustrations, audio clips, video clips, graphic material, or other property, regardless of whether it has been copyrighted, trademarked or otherwise protected, and the selection and arrangements thereof which appear in the Websites (the "Content") are the property of StarNet Interactive and/or its subsidiaries, affiliates, assigns, licensors or other respective owners and are protected, without limitation, pursuant to U.S. and foreign copyright and trademark laws. StarNet Interactive hereby grants you a personal, non-exclusive, non-assignable and non-transferable license to use and display, for noncommercial and personal use only, one copy of any Material or Content that you may access from the Websites, including, without limitation, any files, codes, audio or images incorporated in or generated by the Websites provided that you maintain all copyright, trademark and other notices contained in such Material and Content. You agree not to reproduce, modify, create derivative works from, display, perform, publish, distribute, disseminate, broadcast or circulate any Material or Content to any third party (including, without limitation, the display and distribution of the Material or Content via a third party website) without the express prior written consent of StarNet Interactive. Use of StarNet Interactive and/or its licensors' Material or Content is only permitted with their express written permission. You further agree that you will not disassemble, decompile, reverse engineer or otherwise modify any Material or Content. Any unauthorized or prohibited use may subject you to civil liability and criminal prosecution under applicable federal and state laws.



DISCLAIMERS OF WARRANTY

  1. You agree that the use of our service(s) is at your own risk. You agree that all of the services on the Websites are provided on an "AS IS" and "AS AVAILABLE" basis. GIRLSENSE AND KIDDONET EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, REGARDING ITS ACCURACY, COMPLETENESS OR PERFORMANCE.
  2. The Websites make no warranty that their services will meet your requirements or that the services will be uninterrupted, timely, secure or error free; nor do the Websites make any warranty as to the results that may be obtained from the use of the services or as to the accuracy or reliability of any information obtained in their websites.
  3. You understand and agree that any material and/or data downloaded or otherwise obtained through the use of the GirlSense or KiddoNet websites is downloaded at your own discretion and risk and that you will be solely responsible for any damage to your computer system or loss of data.
  4. No advice or information, whether oral or written, obtained by you from the Websites shall create any warranty not expressly made herein. To the extent that any jurisdiction does not allow the exclusion of such warranties, these disclaimers will apply to the greatest extent possible.
  5. IN NO EVENT WILL STARNET INTERACTIVE AND GIRLSENSE OR KIDDONET BE LIABLE TO ANY PARTY FOR ANY DIRECT, INDIRECT, SPECIAL OR OTHER CONSEQUENTIAL DAMAGES FOR ANY USE OF THESE WEBSITES, OR ANY OTHER HYPERLINKED WEBSITES, INCLUDING, WITHOUT LIMITATION, ANY LOST PROFITS, BUSINESS INTERUPTION, LOSS OF PROGRAMS OR OTHER DATA OR OTHERWISE, EVEN IF STARNET INTERACTIVE OR GIRLSENSE HAVE EXPRESSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.


STARNET INTERACTIVE TECHNICAL SUPPORT DISCLAIMER

  1. While every effort has been made to ensure the advice and/or information provided through the support services of StarNet Interactive Ltd ("StarNet Interactive") is correct, StarNet Interactive does not accept any responsibility or liability for any errors or omissions. Any advice or information that StarNet Interactive gives you via any form of communication is not a guarantee that such advice or information will correct your problem. It is only offered as assistance to you.
  2. StarNet Interactive will not be held responsible for any losses, damages, faults, or other consequences as a result of advice or information supplied by it. No e-mails from StarNet Interactive including technical support e-mails, may be distributed or posted on any media accessible to the public, without StarNet Interactive's prior written consent.
  3. The best place to get technical support on a product is from the product manufacturer after first reading the relevant manual. You may also find technical support at manufacturers websites.


NON-TRANSFERABILITY OF MEMBERSHIP

GirlSense and KiddoNet grant to you a personal, nonexclusive, non-assignable, and non-transferable license to use and display the GirlSense Software and the KiddoNet Software on any machine(s) of which you are the primary user. Unauthorized copying of the Software or duplication of the Software in any manner, including software that has been modified, merged, or included with the Software, or the written materials associated therewith, is expressly forbidden. You acknowledge that you may not sublicense, transfer, sell, or assign this license or the Software. Any attempt to sublicense, transfer, sell or assign the license is void.



CHANGES AND UPDATES

The Websites may change the terms and policies listed herein at any time. We reserve the right to change the information, features, products, policies, promotions, disclosures and disclaimers of these Websites at any time. BY VISITING THIS SITE, YOU ACCEPT THE PRACTICES DESCRIBED IN THIS PRIVACY POLICY. IF YOU ARE A CHILD UNDER THE AGE OF 13, THEN YOUR PARENTS ACCEPT THIS PRIVACY POLICY BY ALLOWING YOU TO VISIT THE SITE. Please check back occasionally to see if and how our policies may have changed since your last visit. Your continued use of either of these Websites following the posting of changes to this agreement or to our Privacy Policy means that you have accepted any changes made to the Websites.
